These Terms & Conditions, together with your signed Quotation or Service Agreement (The Agreement), govern the relationship between Xtec Xerox (Pty) Ltd (The Company) and the Client. By placing an Order, you accept these T&Cs.

1. Agreement and Orders

• A binding contract is formed only upon The Company’s written acceptance of your Order.
• Any conflicting terms you submit are expressly rejected unless accepted by The Company in writing.
• Quotations are valid only for the stated period and are subject to Product availability.
  
  

2. Products (Sale of Goods)

• Delivery Dates are estimates only. The Company is not liable for delivery delays.
• Risk of Loss passes to you upon delivery of the Product to your site.
• Retention of Title: Legal ownership of the Products remains with The Company until full, cleared payment is received for all amounts due.
  
  

3. Price and Payment

• Payment is due within 30 days of the invoice date, unless otherwise agreed in writing.
• Late Payment: The Company reserves the right to charge interest on overdue amounts and may suspend all Services and deliveries until the outstanding balance is settled in full.
  
  

4. Governing Law

• Governing Law: This Agreement is governed by the laws of the Republic of South Africa.
